Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Artcell website ("Website") and any purchases made through it. By accessing the Website or placing an order, you agree to be bound by these Terms.

1. Company Information

The Website is operated by Artcell, a partnership company duly registered with the Registrar of Joint Stock Companies and Firms (RJSC), Bangladesh.

2. User Accounts and Registration

While order placement currently requires only submission of personal details, in the near future users will be required to register for an account before submitting orders. User accounts will allow customers to track order history and manage information.

Artcell reserves the right to suspend or restrict user accounts for misuse, including but not limited to fraudulent orders or repeated refusal of deliveries without valid reason.

3. Order Process and Confirmation

• • Orders are processed on a Cash on Delivery (COD) basis.
• • After an order is placed, an Artcell representative will contact the customer by phone to confirm the order.
• • Standard delivery timeline is 5–7 working days from confirmation, subject to product availability and delivery conditions.

4. Cancellations, Refusals, and Returns

• • Customers may cancel orders prior to delivery confirmation.
• • Refusal to accept delivery without reasonable justification may result in suspension or restriction of the customer's account.
• • Returns and refunds are only accepted where the fault lies with Artcell (e.g., wrong product delivered, defective product).

5. Service Territory

At present, orders are accepted and fulfilled only within the territory of Bangladesh. International orders are not supported. Future expansion (including Print-on-Demand fulfillment for international customers) may be introduced, at which time these Terms will be updated.

6. Third-Party Courier Services

Deliveries are carried out through independent third-party courier service providers. While Artcell selects reliable courier partners, we are not responsible for delays, damages, or loss of items once an order has been handed over to the courier. Any claims relating to delivery service (such as late delivery or damage in transit) should be raised directly with the courier, although Artcell will reasonably assist customers in coordinating with the courier where possible.

7. Intellectual Property

All designs, logos, graphics, music-related merchandise, and other creative works featured on this Website are the intellectual property of Artcell. Unauthorized reproduction, distribution, or sale of Artcell's designs or materials is strictly prohibited. Offenders will be prosecuted under the Copyright Act, 2023 of Bangladesh.

8. Force Majeure

Artcell shall not be held liable or responsible for any failure or delay in performance of its obligations under these Terms & Conditions if such failure or delay arises from any cause beyond its reasonable control. Such causes shall include, but not be limited to, natural disasters, acts of God, governmental actions or regulations, labor disputes, strikes, lockouts, war, civil unrest, pandemics, fire, flood, power outages, failures in communication systems, or disruptions in transportation or logistics networks. In the event of such circumstances, Artcell shall make reasonable efforts to notify users of the nature and extent of the delay or non-performance, and performance of obligations shall be suspended for the duration of the force majeure event.

9. Limitation of Liability

Artcell shall not be held liable for any damages, losses, or inconveniences arising out of the use of this Website or purchase of products, except where such damages result from our proven negligence or willful misconduct.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of Bangladesh. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
